Terms of Service

1. Introduction

Welcome to Aisle 1 Solutions LLC (“Aisle 1 Solutions,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our consulting services. By purchasing or using our services, you agree to be bound by these Terms.

2. Services Provided

We provide business consulting services designed to improve operational efficiency, strategy, and scalability. Our offerings include, but are not limited to:

  • Chaos Diagnostics – a 60-minute diagnostic session with founders.

  • Chaos Calming Blueprint – a deep dive into operational challenges, including team interviews and a written blueprint.

  • Chaos Implementation – operational leadership and implementation on a retainer basis (minimum 3 months).

  • Founder SOS – a 60-minute focused advisory call.

  • Consulting Service – advisory support in business strategy, operations, project management, product management, production, or other agreed-upon services, delivered for an agreed-upon scope and period of time.

Services are provided strictly for advisory purposes. We do not provide legal, financial, or medical advice.

3. Eligibility

You must be at least 18 years of age and authorized to bind your company to these Terms. Services are designed for small businesses, startups, and team leaders.

4. Fees & Payment Terms

  • Payment Schedule: Fees for services are either one-off (Chaos Diagnostics, Chaos Calming Blueprint, Founder SOS), recurring monthly (Chaos Implementation retainer), or fixed for an agreed-upon consulting engagement (Consulting Service). One-off services must be paid in full upfront. Retainer and consulting services are billed monthly, with payment due at the start of each new month, unless otherwise agreed in writing.

  • Late Payments: Any invoice not paid within thirty (30) days of the due date will accrue interest at a rate of one and one-half percent (1.5%) per month, or the maximum permitted by law, whichever is less. Aisle 1 Solutions reserves the right to suspend or pause services if invoices remain unpaid more than thirty (30) days past due.

5. Client Responsibilities

Clients agree to provide accurate information, timely access to personnel, and full cooperation necessary to deliver services. Clients remain responsible for implementing recommendations unless otherwise contracted for implementation services.

6. Cancellation & Rescheduling Policy

  • Rescheduling: Individual sessions may be rescheduled with at least twenty-four (24) hours’ notice.

  • Cancellations (One-Off Services): Cancellations made with at least twenty-four (24) hours’ notice will receive a full refund. No refunds will be provided for cancellations made with less than twenty-four (24) hours’ notice.

  • Retainer & Consulting Services:

    • Clients may cancel or modify a retainer or consulting engagement with at least fourteen (14) days’ written notice. If such notice is given, any unused portion of prepaid fees will be refunded on a pro-rated basis.

    • Cancellations or modifications with less than fourteen (14) days’ notice are not eligible for any refund.

7. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information. We will not disclose client information without consent, except as required by law.

8. Intellectual Property

Client Materials: Any data, content, or business information provided by the client remains the sole property of the client. Aisle 1 Solutions does not claim ownership of client materials.

  1. Aisle 1 Solutions Materials: All methodologies, frameworks, templates, processes, and intellectual property created or provided by Aisle 1 Solutions, whether pre-existing or developed in the course of an engagement, remain the exclusive property of Aisle 1 Solutions.

  2. License to Use: Clients are granted a limited, non-transferable license to use Aisle 1 Solutions’ materials and deliverables for internal business purposes only. These materials may not be copied, distributed, or resold without prior written consent.

  3. General Learnings: Aisle 1 Solutions retains the right to use general knowledge, skills, and experience gained during the engagement (excluding any confidential client information) in future work with other clients.

9. Disclaimer of Guarantees

While we provide professional advice and strategies, results will vary depending on client implementation. Aisle 1 Solutions makes no guarantees regarding revenue, growth, or business outcomes.

10. Limitation of Liability

To the fullest extent permitted by law, Aisle 1 Solutions shall not be liable for any indirect, incidental, or consequential damages. Liability is capped at the amount paid by the client for the services in question.

11. Termination

Either party may terminate services if the other party materially breaches these Terms, including failure to pay fees. Clients may terminate retainer or consulting services with fourteen (14) days’ notice, subject to Section 6.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.

13. Dispute Resolution

Before initiating formal legal action, both parties agree to first attempt resolution through mediation in New York County.

14. Amendments

We reserve the right to update these Terms at any time. Clients will be notified of material changes via email or website posting. Continued use of services constitutes acceptance of updated Terms.
